PLEASE READ THIS AGREEMENT CAREFULLY BEFORE ACCESSING OR USING THE TRAFFIC BROKERS NETWORK WEBSITE MAKINING PURCHASES, AND ANY ASSOCIATED SERVICES. BY ACCESSING OR USING THE WEBSITE, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT.
TRAFFIC BROKERS NETWORK (TRAFFICBROKERSNETWORK.COM) MAY, FROM TIME TO TIME, AND RESERVES THE RIGHT, IN ITS SOLE AND ABSOLUTE DISCRETION, TO MODIFY, LIMIT, CHANGE, DISCONTINUE, OR REPLACE THE WEBSITE, TERMS, OR THIS AGREEMENT. IN THE EVENT THE TRAFFIC BROKERS NETWORK MODIFIES, LIMITS, CHANGES, OR REPLACES THE WEBSITE OR THIS AGREEMENT, YOUR USE OF THE WEBSITE AFTER SAID MODIFICATION, LIMITATION, CHANGE, OR REPLACEMENT CONSTITUTES YOUR MANIFESTATION OF ASSENT TO THE MODIFICATION, LIMITATION, CHANGE, OR REPLACEMENT.
- MEMBER OR USER (s) refers to any individual (s) registered with the Traffic Brokers Network website searching and applying for assignments, projects, contracts, purchase orders, micro tasks, or making purchases throughout the website.
- Contractor (s), Client (s), Partner (s), Vendor (s) Trainer (s) Service provider (s) refers to an individual or company registered with the Website who submits either job assignment, product listing, special offering, service, contract, purchase order, bonus, and other available marketing vehicle or automation through the Website.
- Support Staff and/ Or Account manager (S)/ Senior Manager (s)Support refers to paid members, partners, sub contractors, agencies, and/or employees of the Traffic Brokers Network.
About The Website
The mission of the Traffic Brokers Network is to provide education, marketing platform, and multi vendor related services, management tools, actionable information, training, talent, and supportive services to drive website, visitors, leads, and sales for brands, entrepreneurs, and companies and individuals both large and small.
We also provide outsourcing and account management services that allow members to safely process sales orders and services, and to keep everyone accountable. The Traffic Brokers Network also provides informational and educational material, including live training, e-courses, software, and business organization tools and services.
Warranties and Representations
You warrant and agree that you have the right and legal capacity to enter into this Agreement and to adhere to its terms and conditions. You warrant that you are a human individual that is eighteen (18) years of age or older. If you are under eighteen (18) years of age but at least thirteen (13) years of age, you must present this Agreement to your parent or legal guardian for their review. You warrant that you are not prohibited from assenting to this Agreement by any pre existing Agreement.
You warrant and represent that any and all information that you provide to the Traffic Brokers Network and to potential employers, contractors, members, account managers, and customers is accurate and valid. You agree to comply in good faith with the terms of this Agreement.
You will not use the Traffic Brokers Network in any way that violates the rights of third parties, and you also agree to comply with any and all applicable local, national, state, provincial, and international laws, treaties, and regulations.
You also agree to be held liable in the event you violate any applicable local, national, state, provincial, and international laws, treaties, and regulations and that Traffic Brokers Network is not responsible for any violation of the laws therein.
Given the global nature of the Internet, you agree to comply with all laws and rules where you reside or where you use the Website. The Website is operated in the United States and the Traffic Brokers Network makes no representation that its Website, members, services, or products are appropriate, lawful, or available for use in other locations.
Because the Traffic Brokers Network does not have direct access to company or individual member data outside of our website, all support staff, members, account managers are solely responsible for any agreements they enter into with said Employers, members, partners, businesses, or contractors, and for any and all issues that may arise from entering into such agreements. We caution our members to do their due diligence before entering into any purchase, partnership, freelance, or client agreement.
Traffic Brokers Network Website does not provide such information as name, address or other personal identifying information of members or staff unless a court order is furnished.
Refund / Purchase Policy
The Traffic Brokers Network allows members to post various paid content types including bonuses, giveaways, reviews, special offers, events, and contests.
Individual members may provide refunds for the individual items purchased.
Members must post refund policies in the description of their offer or service pages. If no refund policy is present, you assume that no refund is available when purchasing and offer or service.
By purchasing any content post from the network you agree that any and all fees paid by you to purchase and be reposted to the network are final, and when purchasing any form of advertisement throughout the network, your purchases cannot be refunded.
All products and services purchase for use as a review, bonus, giveaways, special offer, event, post, advertisement, are 100% non refundable.
In the event that a refund is associated with an item, you agree that fees paid to post such items anywhere on the network or through our various social media assets are non refundable.
To protect all members and the integrity of the network, you agree not to accept payments from any member outside the network or risk account restrictions and potential forfeiture of future earnings.
Our order processing systems provide industry level encryption and data protection protocols which allows members to contract, and process payouts in a safe and efficient manner.
Affiliate, Posting Policies, and Earnings
By using the Traffic Brokers Network you agree to the following terms.
To protect the earnings of affiliates, partners, members, account, and/or product managers, any person or affiliate who refers another to the network maintains a supervisory role over the referred account.
This means free members cannot delete accounts, but will retain the right to delete personal account information which only includes your personal information such as name, address, phone number, personal images of your person, or links to outside professional profiles, and any business information on your profile.
The Traffic Brokers Network reserves the right to delete, modify or transfer free accounts, accounts in violations of these terms of services, violating accounts associated with active projects, or inactive accounts at anytime or after 45 days of inactivity.
In accordance with this agreement, if your account is in violation of terms, or has reached inactive status, it can be deleted or transferred, and all personal details will be removed provided you contact us to remove your personal information, your account, and any product information may remain in our system and may only removed upon request or in the event that a copyright or applicable law may been breeched.
Any posts associated with an assignments, projects, bonuses, giveaways, special review, event, or purchase order may remain on the website until quantity limit has been reached.
Since the offers you create can be related to freelance assignments, projects, referrals, and purchases from other members, customers, and clients, the removal of product, services, or offer details is restricted to the products and services you personally own, and will not be removed as long as it is part of an ongoing project, assignments, purchase order, or advertisement, and is at the discretion of the network staff.
You agree to contact us before any offer, content, or post associated with your account or your managed accounts can be removed.
You also agree that you forfeit all future earnings associated with any offer that you remove or that is removed by anyone you personally refer or that is associated with your account or team.
Products, Services, and any content related to offer post cannot be removed, but can be deleted at the support teams discretion.
To avoid product removal be sure to list quantities for all offer posts, and provide such limitations in your product description.
You agree that you are liable in the event of any loss of revenue associated with your account activities throughout the website and on member, associate, or partner sites.
Members receive payouts on a bi weekly basis. Some payouts may be processed immediately at the Traffic Brokers Network discretion. Eligible monthly payouts are processed on a monthly basis. Bonuses may require longer processing times due to delivery set by each vendor.
In the event that a bonus or offer is not delivered on time, contact the vendor for support. The Traffic Brokers Network does not provide support for products, bonuses, giveaways, or any services offered outside our system.
You may leave a review on each member’s page and contact members directly from their profiles.
The Website is operated in the United States and The Traffic Brokers Network makes no representation that its Website or services or products are appropriate, lawful, or available for use in every location.
Because The Traffic Brokers Network does not have direct access to employer data outside of our website, all Support Staffers, members, affiliates, contractors, partners, account managers, freelancers, service providers, and Job Seekers are responsible for any agreements they enter into with said clients, or members, and for any and all issues that may or may not arise from entering into such agreements.
We encourage our Jobseekers to only accept payments from employers through a secured banking system such as PayPal, or by check. We do not encourage giving out bank account information as an acceptable form of receiving payment from Employers.
The Traffic Brokers Network takes many precautions to avoid listing scam positions throughout our job network. We prescreen many members using phone interview and receive payments on behalf of our support staffers before, during, or after performing work, however, due to the increasingly sophisticated techniques of online scam artists, we STRONGLY encourage all of our Jobseekers, Support Staffers, account managers, contractors, and Service providers to:
- Only Perform job assignments with active members with past performance
- Never use your own bank account to receive/send money for companies;
- Never wire money for a company from your personal bank account; and
- Never pay a “start-up” fee to companies that say you must purchase software or other equipment in order to work for them.
Members are responsible for all interactions between potential Employers outside of our network. Again any losses resulting from a Jobseeker’s interactions or transactions with a potential Employer, is the sole responsibility of the Jobseeker. The Traffic Brokers Network or parent company does not reimburse Jobseekers for money lost due to involvement with job services or positions that do not come from us directly and you agree that our support is limited to helping facilitate order processing for all parties involved. The Traffic Brokers Network is not affiliated with the companies whose jobs are listed on our Website. Please exercise caution and due diligence in researching all employment offers received.
Ownership of Website Fees and License
You acknowledge and agree that Traffic Brokers Network is the owner of, or has rights in and to, the Website and its associated content, including but not limited to all intellectual property rights inherent therein. The Website is protected by all applicable laws, intellectual property or otherwise, and you are expressly prohibited from using the Traffic Brokers Network for any purposes not explicitly stated in this Agreement. Specifically, and except where otherwise allowed under this Agreement, you are prohibited from framing, scraping, aggregating, hacking, reverse engineering, crawling, reproducing, preparing derivative works of, distributing, performing publicly, or displaying publicly the Traffic Brokers Network, whether in whole or in part, without the prior written consent of the Traffic Brokers Network.
You acknowledge and accept that by using The Traffic Brokers Network website, and accepting any position you agree to the terms of the fee structure provided below.
Network Fees and Earnings Inclusion
The Traffic Brokers Network does not charge upfront fees but instead collects fees from individual and network sales, check processing, training, advertising, clients, memberships, software sales, and administrative purposes.
The Traffic Brokers Network, and its Support Staff, Account Managers Writers, Members, and Advertisers are compensated through the purchases and advertising made throughout the site.
A completed W-9 income tax form is required for all Affiliates after reaching $100 in payouts.
No fee will be collected unless a check is processed or purchase is made by a Member, Jobseeker or Support Staff in relation to your account.
You hereby agree to the following service fees:
Check processing fee of $4.00 processing fee is required to process earnings payments above $100 along with 2% of total check amount USD as of January 2019.
These small fee’s help us train and pay office staff.
Checks will not be issued to Staffers who earn under $100 USD. Earnings under $100 USD will be rolled over and processed the following week as long as the earnings have reached $100 USD.
Taxes will not be withheld from payments and you are personally responsible for payment of taxes via form 1099 MISC issued. You’re still required to report all of your income even if you do not receive a 1099-MISC.
Payments will be made via pay-pal, stripes, or via check to the address on files, through Veem.com for international payments and for all those who cannot receive payments via Paypal.com. Please make sure that the address on file is the exact address by which you can receive check payments and address confirmations.
The Traffic Brokers Network hereby grants you a limited, non-exclusive, non-sublicensable, royalty free, non-assignable, and revocable license to use the Website for its customary and intended purposes.
Paid members can create multiple accounts and transfer accounts to others based on their membership level. Please see membership plans for more information.
Violation of the terms of this Agreement or use of The Traffic Brokers Network outside of its customary and intended purposes, such as, but not limited to downloading (other than page caching) or modifying the Website or any portion of it will result in the termination of this license. Absent prior written permission from The Traffic Brokers Network you are not permitted to reproduce, prepare derivative works, distribute copies, perform, display, or use for commercial purposes the Website or its content. This license is revocable at any time, and any rights not expressly granted herein are reserved to The Traffic Brokers Network
All trademarks (common law or registered) and copyrights (common law or registered) displayed on this Website are the property of their respective owners. Specifically, all Traffic Brokers Network marks are the property of The Traffic Brokers Network, including, but not limited to “The Traffic Brokers Network” / Traffic Brokers Networkand all Traffic Brokers Network logos. The Website, including its look and feel, color selections, layout, and arrangement, is the trade dress of The Traffic Brokers Network. You are prohibited from using The Traffic Brokers Network ’ trademarks, service marks, and trade dress, or any colorable imitation thereof, to indicate the source of, sponsorship of, approval of, affiliation with, connection with, or association with your goods or services without the prior written consent of the Traffic Brokers Network.
Website Use & Account Registration
The Website may be accessed and browsed for free. Member/ businesses, Jobseeker and Employer account creation is also free. To register for an account, you must provide your first name, last name, e-mail address, and create a password. Members can also use a business username once their account has been created. Members with non business friendly usernames risk account limitation.
Alternatively, you may register an account via Facebook or Google Plus. Once Jobseekers have registered their account, they will have the option to enroll into a variety of paid subscriptions with The Traffic Brokers Network that allows them full access to the Website. Once Employers have registered their account, they will be able to upload job postings on the Website and view a list of the Jobseeker names and e-mail addresses who have opted to apply for an Employer’s job posting. Employers may also have the option to browse member profiles in search of potential job candidates.
Users have a duty to ensure that the information provided through their account is truthful, current, complete, and accurate. Users understand and agree that they have an ongoing duty to update and keep current the information provided through their account if and when that information changes. Users are expressly prohibited from creating an account that impersonates another person or entity, contains offensive or obscene language, or otherwise violates the rights of a third party. Users expressly agree that they will not use their account to interfere with or disrupt a third party’s enjoyment and use of the Website. The Traffic Brokers Network reserves the right to restrict access, to monitor, suspend, disable, or delete accounts at any time, in its sole discretion, and without prior warning.
Users agree to keep their account secure from unauthorized access. Users will log in using their email and account password, Facebook, or Google Plus. Users should not reveal their password to others. Users agree that they alone are responsible for their account. Users accept full responsibility for any and all use of their Account, whether authorized or unauthorized. In the case of unauthorized access to a User’s account, they agree to contact the Traffic Brokers Network immediately. Users agree to hold harmless and indemnify The Traffic Brokers Network for any damages that arise out of or in relation to the use of their account.
Payment for subscriptions and career related services made to the Website are processed internally via credit card or through the third-party payment processor Stripe and are non refundable. Users agree that they are solely responsible for paying all applicable taxes, duties, levies, or charges imposed by any governmental entity anywhere in the world in connection with their use of the Website and/or monetary contributions through the Website to that applicable governmental entity. You understand and agree that The Traffic Brokers Network will not be held liable for any User’s failure to complete a transaction entered into through the Website. By utilizing PayPal’s payment services, both Recipients and Donors are subject to its separate Terms of Service found here: https://www.paypal.com/us/webapps/mpp/ua/useragreement-full.
User Generated Content
Some Users may have the ability to submit content to the website, including, but not limited to product or services descriptions, details, reviews, music files, photos, and videos (collectively referred to as “User Generated Content”).
Except as otherwise licensed herein, you own all rights in and to your User Generated Content. User Generated Content may be hosted, shared, and/or published as part of the Website’s associated services. User Generated Content posted to public areas of the Website, including as comments to posts and reviews, will be publicly visible to all visitors of the Website. You expressly acknowledge, however, that the Traffic Brokers Network does not guarantee any confidentiality with respect to any submissions of your User Generated Content.
By submitting User Generated Content to the Website, you grant the Traffic Brokers Network a non-exclusive, irrevocable, royalty free, worldwide, and perpetual license to use your User Generated Content for the customary and intended purposes of the Website and any purpose related thereto, including, without limitation, to reproduce, prepare derivative works, distribute copies, perform, sell, display, research, and use any of the User Generated Content. These purposes may include, but are not limited to providing you or third parties with the Website or its associated services, improving the Website or its associated services, and archiving or making backups of the Website. You agree to waive all moral rights in and to your User Generated Content across the world, whether you have or have not asserted moral rights in or to your User Generated Content. By submitting User Generated Content to the Traffic Brokers Network, you further agree to waive all rights of publicity or privacy with respect to the User Generated Content submitted.
You warrant that any User Generated Content that you submit to the Traffic Brokers Network will not violate the rights of third parties, including, but not limited to, trademark rights, copyright rights, and rights of publicity and privacy, or violate any applicable law, statute, ordinance, treaty, or regulation, whether local, state, provincial, national, or international.
You agree that you are solely responsible for any User Generated Content that you submit to the Site. The Traffic Brokers Network acts solely as a repository of data, and therefore makes no guarantees as to the validity, accuracy, relevance, usefulness, or legal status of any User Generated Content produced by you or it’s members.
The Traffic Brokers Network does not guarantee the confidentiality of any User Generated Content you share through the Website with any third party.
The Traffic Brokers Network reserves the right to remove User Generated Content without prior notice and may, at its sole discretion, remove User Generated Content that it determines, at its sole discretion, violates the terms of this Agreement. The Traffic Brokers Network also reserves the right to terminate a members access to the Website for any reason, including, but not limited to, for repeatedly infringing on the intellectual property or other rights of third parties or otherwise violating the terms of this Agreement, or for no reason, and without prior notice.
The offers, job postings, and any content appearing on the Website is for informational use only. Despite staff efforts to provide accurate and helpful information, some errors may appear from time to time. Before relying on and accepting any information or job assignments, or offers you’ve read about on the Website, you should confirm with the employer, member, or client any information that is important to you. The Traffic Brokers Network, or its staff, is not responsible for, and does not guarantee the accuracy of the information contained in the content, events, giveaways, bonuses, contracts, projects, or job postings and listings. Please read each job posting carefully prior to applying. Contact members from their profile and get full details related to each post you’re interested in. While all of the positions are listed in good faith as work-at-home or virtual, some may require that you live in a certain area, or are available for initial onsite training. Occasionally there may be errors and a non-telecommute position listed, all site subscribers are responsible to verify jobs as legitimate work at home or telecommute opportunities.
Content listed on the Traffic Brokers Network are a compilation of bonuses, giveaways, special offers, reviews, events, projects, contracts, work-at-home assignments or micro tasks that may have been listed elsewhere by memes, as well as jobs sent direct to The Traffic Brokers Network, Inc. by employers, members, clients, or the network itself that are deemed appropriate for the website. All users of the site are responsible to ensure the accuracy and validity of all offers, jobs, and employers they choose to contract with. The Traffic Brokers Network is not responsible for any losses to any Jobseeker of this Website due to lost time, wages or identity information that the poster, member, Jobseeker knowingly provided to Employers whose jobs have been posted on The Traffic Brokers Network.
The Traffic Brokers Network limits the use of ‘credible’ and ‘legitimate’ work-at-home jobs to mean those jobs they have screened according to their own specifications to include on the website.
We encourage you to let us know of any material on the Traffic Brokers Network that you believe to be false and/or inaccurate. Please forward a copy of the material to [email protected], along with an explanation of your concerns.
You expressly agree that you will not use the Website to violate any law, statute, ordinance, regulation, or treaty, to violate the rights of third parties, or for a use outside of the customary and intended purposes of the Website. The Traffic Brokers Network reserves the right to remove any User and/or content at any time without notice that violates the prohibitions outlined below.
Members, users, or customers that violate these terms hereby forfeit all current and future earnings as they can result in account removal.
Specifically, all Users are prohibited from:
- Posting or transmitting content that:
- Threatens or encourages bodily harm and/or destruction of property or that is offensive, defamatory, derogatory, vulgar, pornographic, or obscene;
- Promotes hate, violence, harassment, stalking, discrimination, terrorism, or intolerance of any kind based upon race, ethnicity, religion, sexual orientation, or disability;
- Incites any illegal activity or unlawful sexual solicitation;
- Relates to weaponry, controlled substances, gambling, or debt collection;
- Raises support or defense of anyone alleged to be involved in criminal activity;
- Impersonates another or is fraudulent, inaccurate, or misleading;
- Constitutes an unwanted commercial solicitation, a phishing scam, a pyramid scheme, or a chain letter;
- Intends to collect personal or personally identifiable information from others;
- Relates to Multi-Level Marketing (“MLM”) or a Pyramid Scheme;
- Violates any term or condition of this Agreement;
- Using a robot, spider, scraper, or other automated technology to access the Website or client website;
- Imposing a disproportionate load on the Website or its server infrastructure or otherwise attempting to interfere with the operation of the Website;
- Attempting to gain access to the private data or personal information of a Website user or third party;
- Circumventing The Traffic Brokers Network ’ technological and physical security measures;
- Suggesting an affiliation with or endorsement by The Traffic Brokers Network without express permission.
If you encounter content or witness behavior that you believe is inappropriate and violates this Agreement, you may report it to The Traffic Brokers Network by sending an email to c[email protected].
The Website is fully accessible via a mobile device, including the ability to fill out the Form and search for offers, assignments, and for netowkring and promotional purposes. To the extent you access the Website through a mobile device, your wireless carrier’s standard charges, rates, and fees may apply. The Traffic Brokers Network is not responsible for any fees or errors that occur while accessing the Website via mobile device.
Section 230 of Communications Decency Act
You acknowledge and agree that The Traffic Brokers Network is an interactive computer service provider under Section 230 of the Communications Decency Act. Though the Traffic Brokers Network may edit, remove, or control the content displayed through the Website, you agree that The Traffic Brokers Network will not be considered an information content provider and will not be held liable for the republication of defamatory or tortious content created by third parties, whether through the Website or otherwise.

While the Traffic Brokers Network does recommend some Employers, companies, commercial products, processes, services, or websites. The views and opinions of affiliates, contributors, owners, and others expressed do not necessarily state or reflect those of The Traffic Brokers Network and are not intended to be used for such purposes.
Term and Termination
This Agreement will remain in full force and effect so long as the Website is in operation. The Traffic Brokers Network may terminate this Agreement without liability at any time, without notice, and for any reason, including but not limited to for your violation of a term or condition of this Agreement.
Disclaimer of Warranties
THE TRAFFIC BROKERS NETWORK DISCLAIMS ANY RESPONSIBILITY FOR ANY HARM OR LIABILITY ARISING OUT OF OR RELATED TO YOUR USE OF THE WEBSITE. THE TRAFFIC BROKERS NETWORK PROVIDES THE WEBSITE AND THE SERVICES PROVIDED THROUGH THE WEBSITE ON AN AS-IS BASIS AND WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, COMPLETENESS, NON-INFRINGEMENT, OR QUALITY. Limitation of Liability
THE TRAFFIC BROKERS NETWORK WILL NOT BE LIABLE TO YOU UNDER ANY LEGAL THEORY FOR ANY DAMAGES, CLAIMS, INJURIES, JUDGMENTS, COSTS, OR LIABILITIES ARISING OUT OF OR RELATED TO YOUR USE OR MISUSE OF THE WEBSITE, INCLUDING, BUT NOT LIMITED TO, LOSS OF BUSINESS, LOSS OF INCOME, SPECIAL DAMAGES, INCIDENTAL DAMAGES, CONSEQUENTIAL DAMAGES, PUNITIVE DAMAGES, OR EXEMPLARY DAMAGES. YOU UNDERSTAND AND AGREE THAT THE MAXIMUM AMOUNT THAT THE TRAFFIC BROKERS NETWORK CAN BE HELD LIABLE TO YOU UNDER ANY CIRCUMSTANCE IS THE AMOUNT THAT YOU PAID, IF ANY, FOR MONETARY CONTRIBUTIONS THROUGH THE WEBSITE, AND IN NO CASE WILL THAT AMOUNT EXCEED $100. IF NO AMOUNT IS PAID BY YOU TO THE TRAFFIC BROKERS NETWORK, YOU AGREE THAT YOU WILL BE LIMITED TO INJUNCTIVE RELIEF ONLY UNLESS OTHERWISE PERMITTED BY LAW.
THE WEBSITE MAY CONTAIN TECHNICAL INACCURACIES OR TYPOGRAPHICAL ERRORS OR OMISSIONS. THE TRAFFIC BROKERS NETWORK IS NOT RESPONSIBLE FOR ANY SUCH TYPOGRAPHICAL, TECHNICAL, OR PRICING ERRORS LISTED ON THE WEBSITE.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF DAMAGES. IF YOUR JURISDICTION DOES NOT ALLOW THE EXCLUSION OR LIMITATION OF DAMAGES, YOU SHOULD SEEK LEGAL COUNSEL TO UNDERSTAND YOUR LEGAL RIGHTS UNDER THE LAW.
You agree to hold harmless, indemnify, and defend the Traffic Brokers Network, its officers, employees, agents, successors, and assigns, from and against any and all claims, demands, losses, damages, rights, and actions of any kind, including, but not limited to, property damage, infringement, personal injury, and death, that either directly or indirectly arise out of or are related to your use of the Website, your use or provision of any services or monetary contributions made through the Website, your reliance upon advice provided through the Website, your submission of User Generated Content to the Website, your violation of any term or condition of this Agreement, your violation of any applicable law, statute, ordinance, regulation, or treaty, whether local, state, national, or international, or your violation of the rights of a third party.
Your obligation to defend the Traffic Brokers Network, under the terms of this Agreement will not provide you with the right to control the Traffic Brokers Network,’ defense, and the Traffic Brokers Network, reserves the right to control its defense and choose its counsel regardless of your contractual requirement to indemnify the Traffic Brokers Network.
You acknowledge and agree that you are prohibited from assigning your rights and obligations under this Agreement. the Traffic Brokers Network may assign its rights and obligations under this Agreement at any time, including but not limited to in a sale of the Website.
Jurisdiction, Governing Law, and Resolution of Disputes
This Agreement will be interpreted, governed, construed, and enforced in accordance with the laws of the United States of America and the State of Indiana without giving effect to any conflicts of laws principles. The parties submit to and agree to personal jurisdiction in Delaware, with venue proper in this jurisdiction.
YOU AND THE TRAFFIC BROKERS NETWORK AGREE THAT ARBITRATION WILL BE THE EXCLUSIVE FORUM AND REMEDY AT LAW FOR ANY DISPUTES ARISING OUT OF OR RELATING TO THIS AGREEMENT, YOUR USE OF THE WEBSITE, OR THE PURCHASE OF SERVICES FROM THE TRAFFIC BROKERS NETWORK, INCLUDING ANY DISPUTES CONCERNING THE VALIDITY, INTERPRETATION, VIOLATION, BREACH, OR TERMINATION OF THIS AGREEMENT. ARBITRATION UNDER THIS AGREEMENT WILL BE HELD IN PHOENIX, ARIZONA AND IN ACCORDANCE WITH THE MOST RECENTLY EFFECTIVE COMMERCIAL ARBITRATION RULES OF THE AMERICAN ARBITRATION ASSOCIATION. THE ARBITRATION PROCEEDING WILL BE DECIDED BY A SINGLE ARBITRATOR AND THE ARBITRATOR WILL DECIDE THE ARBITRATION PROCEEDING BY APPLYING THE LAWS AND LEGAL PRINCIPLES OF THE STATE OF ARIZONA AND THE FEDERAL LAWS OF THE UNITED STATES. THE LOSING PARTY WILL BE REQUIRED TO PAY THE PREVAILING PARTY’S REASONABLE ATTORNEYS’ FEES. YOU AND THE TRAFFIC BROKERS NETWORK AGREE THAT THE SITUS OF THIS AGREEMENT IS IN THE STATE OF DELAWARE. YOU AND THE TRAFFIC BROKERS NETWORK AGREE TO SUBMIT TO THE EXCLUSIVE PERSONAL JURISDICTION OF ANY SUCH ARBITRATOR OR ARBITRATION PROCEEDING.
If any provision of this Agreement is found to be invalid or unenforceable for any reason whatsoever, the remaining provisions will remain valid and unimpaired and will continue in full force and effect.
You understand and agree that no term or provision of this Agreement will be deemed to have been waived and no breach will be deemed to have been consented to unless said waiver or consent is in writing and signed by the party to be charged.
Child Online Privacy Protection Act
The Website is not directed to persons under the age of eighteen (18) and the Traffic Brokers Network will not knowingly collect personally identifiable information from children under the age of eighteen (18). If the Traffic Brokers Network inadvertently collects such personally identifiable information, The Traffic Brokers Network will delete the personally identifiable information in accordance with its security protocols.
Limitation on Actions
THE TRAFFIC BROKERS NETWORK AND YOU BOTH AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE WEBSITE OR ANY SERVICES PURCHASED THROUGH THE WEBSITE MUST COMMENCE WITHIN ONE YEAR AFTER THE CAUSE OF ACTION ACCRUES. FAILURE TO ASSERT SAID CAUSE OF ACTION WITHIN ONE YEAR WILL PERMANENTLY BAR ANY AND ALL RELIEF.
YOU WILL ONLY BE PERMITTED TO PURSUE CLAIMS AGAINST The Traffic Brokers Network ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION OR PROCEEDING AND YOU WILL ONLY BE PERMITTED TO SEEK RELIEF (INCLUDING MONETARY, INJUNCTIVE, AND DECLARATORY RELIEF) ON AN INDIVIDUAL BASIS.
Reservation of Rights
All rights not expressly granted herein are reserved to The Traffic Brokers Network.
